东南网澳大利亚站8月2日综合报道 (本站记者 彭寒)北京时间8月1日下午,滴滴出行正式对外宣布与UBER全球达成战略协议,滴滴出行将收购UBER中国的品牌、业务、数据等全部资产在中国大陆运营。
“打则惊天动地、‘合’则恩爱到底”
达成协议之后,滴滴出行和UBER将双向持股,成为各自的股东。UBER将持有滴滴出行5.89%的股权。而在经济方面,UBER和它的股东们将获得滴滴20%的经济权益。另外,滴滴出行创始人兼董事长程维 和UBER创始人Travis Kalanick也将加入各自的董事会。
就此,从经济权益上来讲,UBER已经成为了滴滴出行最大的股东。合并之后的公司市场估值预计将达到350亿美元,而根据去年年底最新一轮融资之后的报告显示,合并之前(算上中国UBER),UBER全球估值大约在510亿美元左右。
新的公司也将组成中国最豪华的股东阵容之一——其股东将包括百度,腾讯,阿里巴巴,中国人寿,苹果,BlackRock,高瓴资本,老虎基金等。
一位来自中国UBER内部的人士向记者透露,包括高瓴资本,老虎基金,中国人寿等在内的滴滴与UBER的共同投资方,是本次收购的主要推动者。
“打则惊天动地、‘合’则恩爱到底”,滴滴出行CEO程维在给滴滴员工的内部信中写道,“滴滴出行与UBER的合作,将让整个移动出行行业走向更健康有序、更高层次的发展阶段。”
“UBER在经历了中国市场的考验之后成为了一家更好的公司,我个人非常尊敬滴滴和他们的团队在过去两年中所达成的成就。” UBER创始人Travis Kalanick在收购后发表声明称。
目前,根据数据分析公司Analysys International所统计的数据,滴滴出行在中国市场拥有约4200万活跃用户,而UBER则拥有约1000万活跃用户。
滴滴方面表示目前滴滴出行和UBER将延续分开运营的模式。耐人寻味的是,去年滴滴与快的合并时,滴滴也曾作出类似的承诺,而目前快的打车软件已经淡出市场。

彻底终结价格战
一言以蔽之,UBER把自己全球最大的市场交给了滴滴出行,成为滴滴最大的股东的同时,退出了两年亏损20亿美元的价格战场。
就此,无论是从新的网约车规定还是滴滴收购UBER来看,中国网约车市场的价格战都将会彻底退出历史舞台。
收购消息一出,国内网友纷纷表达了对取消补贴和涨价的担忧。滴滴官方表示,对司机和乘客的补贴将在“很长一段时间内”继续下去。
此前有媒体披露滴滴在过去两年中在对司机以及乘客的补贴上一共花了40亿美元,不过该数据被滴滴出行官方否认。
来自纽约大学的经济学教授Arun Sundararajan表示,这项收购从长远来讲是一项双赢的交易,“UBER在中国烧钱的方式已经快要影响到它的全球策略了,这是问题的关键。短期来讲,放弃中国这个庞大的市场这个决定很痛苦,但长远来讲这是个好的策略。”
CNBC分析师认为,UBER创始人Travis Kalanick在近期不断释放的信号都表示,UBER在为IPO(Initial Public Offer)作积极准备,而停止在中国市场烧钱显然会让UBER更具有投资吸引力。
2015年,UBER已经在北美实现盈利,其全球市场也在不断扩张。以澳大利亚为例,UBER已经在近一半的州和领地中实现合法化,并有望在年底拿下人口密集的维多利亚州。
“UBER现在可以专心在全球其他市场上工作了。” Arun Sundararajan教授表示。

UBER has officially handed over its Chinese operation to its local rival DIDI CHUXING, after a deal with DIDI, in which UBER and its shareholders have became the largest interest group after receiving 20% economic stake of the estimated 35 billion US dollars worth entity after the merge.
It is now the second global headlines that Chinese ride-sharing service have made within the past 5 days, after Beijing legalized Chinese ride-sharing service last week, where operating under cost to win a bigger market share has been called off by the Chinese government.
A source from UBER China told SENAU, investors backing both UBER and DIDI were key factors of making the deal.
“Nobody wants to burn their cash anymore,” Said Li, deputy director of China Internet Association, “It is not sustainable.”

UBER has said it is now profitable in the US and Canada, whereas it has reportedly lost 2 billion US dollars in China over the last two years as one of the main party of the Chinese ride-sharing price war. Chinese media has reported that DIDI has spent twice as much as UBER did in the past two years in China providing subsidy to both passengers and drivers, to which DIDI refused to confirm.
As previously reported in SENAU, sources from both DIDI and UBER have confirmed that raising price is “optional” after the Beijing called off the price war. The deal may sounds like an ultimate confirmation from the service providers’ end, saying “the promotion is over.”
Active users of ride-sharing service in China have expressed their concerns over the possible price raise, to which DIDI has replied the subsidy will continue “in a long period of time”.
DIDI also said in a statement that UBER app will continue operate independently, while staff email system has been shut down, according to a UBER China staff. Similar promise was made to KUAIDI, who is now almost out of market, when DIDI merged with it last year.
Notably, after the deal, the merged entity has also made a history and became the first internet-based company simultaneously backed by Chinese Internet giants Baidu, Tencent and Alibaba.
